Who we are

LQ was founded in 2015 and is located in Lagos State, the commercial capital of Nigeria. We specialise in providing bespoke legal advisory services to local and international clients. LQ is primarily a commercial practice with a strong emphasis on corporate transactional and advisory work with a special focus on corporate finance, mergers & acquisitions and large real estate transactions.We are aware that businesses these days require diverse and sophisticated legal services. As such we adopt a dynamic approach in the delivery of our services. LQ is a client-focused commercial law firm, which provides broad-based experience and excellent legal services at an affordable fee, something often unattainable for our larger competitors. We employ a highly capable team of solicitors and support staff, who are all accessible to our clients thereby ensuring prompt and effective response times. We combine the personal and responsive service of a boutique, with ‘big firm expertise’.

Our Team

LQ has two (2) partners Ayodele Agbedana and Ademola Ogungbemile (MCiarb) and are jointly responsible for managing the affairs of the firm. They have an extensive experience in a diverse range of transactional matters, and their legal practice is concentrated in the areas of commercial real estate, corporate finance, mergers and acquisitions, litigation and a broad range of corporate transactional advisory work.

Our Recent Transaction

The team has advised clients on various transactions ranging from real estate development, construction, assets acquisition, corporate restructuring, capital markets, corporate finance and alternative dispute resolution. Some of the transactions the team members were involved with, prior to establishing the firm include the following:

• Advised Nigeria’s largest online shopping mall in a series of equity investments valued at approximately $120million;

• Acting as legal adviser and company secretary to Nigeria’s pioneer indigenous mobile payments provider;

• Recently advised a public company carrying out a rights issue exercise by way of shelf registration, the first of such procedures in Nigeria;

• Advised the largest online retail store in Nigeria in respect of its acquisition of a mobile payment services company licensed by the Central Bank of Nigeria;

• Advised a client in the fast moving consumer goods industry on its development of a real estate project on Victoria Island, Lagos State known as Olympic Towers and Crestview Towers (valued in excess of N9.4 Billion) and prepared all the transaction documents including the Property Development Agreement, template Purchase Agreement, Deed of Assignment, Facilities Management Agreement and Management Agreement;

• Engaged in the provision of advisory services and preparation of transactional documents in respect of the development of a large residential estate comprising of forty-six (46) terrace homes on approximately 1.7 Hectares within the Eti-Osa Local Government Area, Lagos and prepared all the transaction documents including the template Offer Letters, Purchase Agreement and Deed of Sublease;

• Advised on the development of an ultra modern shopping complex known as The Shoppes on Market Road Oniru, within the Eti-Osa Local Government Area of Lagos State and preparing the transaction documents including the Heads of Agreement between the landowner and the developer, Property Development Agreement, template Purchase Agreement, Deed of Sublease, Side Agreement and Escrow Agreement;

• The accelerated mall development program between a state government and a local property development and investment company in the delivery of retail space across the particular state;

• Advised on the Concession Agreement between the Lagos State Government and an indigenous property development Company in respect of the redevelopment of an ultra modern shopping complex known as Oluwole Urban Mall, Lagos Island, Lagos;

• Represented some of the Respondents in a US$4billion multi-party UNCITRAL arbitration over the alleged sale and transfer of shares in a mobile telephone company to a third party in violation of pre- emption rights under a shareholders’ agreement;

• Successfully obtained an award in the sum of US$2Billion in favour of ExxonMobil’s Nigerian E&P subsidiary in respect of a crude entitlement dispute, which arose from a Production Sharing Contract with the NNPC; and

• Represented the Nigerian E&P Subsidiary of ConocoPhillips at the Tax Appeal Tribunal in respect of a dispute with the FGN over the wrongful disallowance of certain tax offsets accruing to ConocoPhillips under an MOU with the FGN.
